Terms of Service

1. Acceptance of Terms

By accessing or using the Vi Flow platform and services provided by Vidya Intel ("we," "our," or "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.

2. Description of Services

Vi Flow is a dental workflow automation platform that connects intraoral scanners to 3D printers, providing design services, materials, and related support for dental professionals. Our services include but are not limited to digital design, case management, and manufacturing coordination.

3. Eligibility

Our services are intended for licensed dental professionals and authorized clinic staff. By using Vi Flow, you represent that you have the legal authority to enter into this agreement and that you meet all eligibility requirements.

4. Pricing and Payment

Our pricing model utilizes a hybrid subscription and per-unit escrow system:

• Platform Fee: $699/month recurring subscription for access to the Vi Flow platform, automated QA, and case management tools.
• Per-Unit Design Fees: Variable per-unit fees (e.g., $15.00 to $29.00 CAD) based on the specific appliance or restoration type requested.
• Platform Deposit & Escrow: An initial security deposit is required to activate the per-unit design ledger. Per-unit usage is tracked via this ledger and auto-billed to your vaulted payment method upon reaching the deposit threshold or at the end of the billing cycle (True-Up).
• Founder Club: Eligible early adopters enrolled in the Founder Club may receive promotional pricing, waived subscription fees, or alternate escrow terms as explicitly specified in their individual agreements.

All fees are subject to change with 30 days notice. The platform subscription is billed monthly.

5. Digital Design Approval, Payout Release, and Remake Policy

• Finality of Design Approval: Vi Flow operates a milestone-based release system to compensate our independent design technicians. When a Clinic reviews a completed 3D design file (.stl or equivalent) and clicks 'Approve' (or physically checks the approval confirmation box), the Clinic legally accepts the design as delivered. Upon approval, the payment held in escrow is instantly and irrevocably released to the technician.
• No Cash Refunds: Due to the digital nature of the design files and the variables involved in local, decentralized manufacturing (e.g., 3D printer calibration, resin quality, milling machine maintenance, and clinical scanning capture), Vi Flow does not offer cash refunds to the original payment method once a design has been approved.
• The Revision Process (Pre-Approval): Clinics are encouraged to thoroughly review margins, contacts, and occlusion in the platform's 3D viewer prior to approval. If a design requires adjustments, the Clinic must select 'Request Revision' before approving the case. Revisions requested prior to final approval are completed by the technician at no additional charge.
• Post-Approval Remakes: If a file fails during the Clinic's in-house manufacturing process after the design has been approved, any subsequent alterations, new design requests, or remakes will be treated as a new order and subject to standard per-unit platform fees.

6. User Responsibilities

You agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Use the platform in compliance with all applicable laws and regulations
• Not misuse or attempt to reverse-engineer our technology
• Ensure all clinical decisions remain under the supervision of qualified professionals

7. Intellectual Property

All content, technology, and intellectual property associated with Vi Flow remain the exclusive property of Vidya Intel. You are granted a limited, non-exclusive license to use our platform for its intended purpose during your subscription period.

8. Limitation of Liability

To the maximum extent permitted by law, Vidya Intel shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our services. Our total liability shall not exceed the fees paid by you in the twelve months preceding the claim.

9. Termination

Either party may terminate this agreement with 30 days written notice. We reserve the right to suspend or terminate access immediately for violations of these terms. Upon termination, your access to the platform will cease, and any outstanding fees will become due.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of the jurisdiction in which Vidya Intel is incorporated, without regard to conflict of law principles.
